VBC Buy-Side Assistance
Assist healthcare strategic investors, private equity firms, growth focused investment funds and national and regional VBC organizations through the entire buy-side process. This includes identifying, valuing and completing due diligence on VBC organizations, inclusive of Accountable Care Organizations (“ACOs”), Independent Practice Associations (“IPAs”), Management Services Organizations (“MSOs”) and PCP practices . These practices can range from independent practices to large multi-site primary care groups.
Services We Provide
We provide the following four products for Buy-Side M&A Consulting
PCP Pipeline Development​
Maintain a national database of PCP practices, Medicare population and Medicare Advantage and hospital system data points, allowing us to identify and rank markets based on Medicare or Medicare Advantage (“MA”) population, MA penetration, MA funding, medical expense ratio, primary care fragmentation and health system influence.
Maintain a geo-location mapping tool capable of identifying high-scoring PCP sites based on drive time to targeted patient population, healthcare services demand and spend by specialty and proximity to drivers of consumer volume. This could include retail stores, complimentary healthcare facilities, pharmacy locations, as well as other PCP competitors locations.
Maintain a national database of PCP practice information, allowing us to filter practices based on size and location, as well as other targeted demographics. ​
PCP Practice Valuation
This includes review and assessment of historical financials, development of pro formas utilizing a range of assumptions: ability of practice to take downside financial risk on VBC arrangements, impact of Medicare Risk Adjustment “(MRA”) or Medical Loss Ratio (“MLR”), impact of revised VBC economics such as Percent of Premium (‘POP”) or PCP Cap, installation of new VBC arrangements on existing populations.
Analysis of historical and trending VBC performance Key Performance Indicators (“KPIs”).
Deep dive into all types of patient populations served population size and growth trends.
Analysis of all current payor arrangements (FFS and VBC), MSO and/or ACO arrangements and relationships.​
For all brick and mortar practices, conduct a margin analysis by line of service, including PCP E&M, ancillary services, labs, Critical Care Management (“CCM”) programs, and specialists, by location, by provider and taking into account staffing and compensation models.
In cases where PCP practice has deep relationships and membership volume with MSOs and IPAs, we will review the Payor deal terms and economics that the practice as an “affiliate” receives. Additionally, we will assess the MSO or IPA services and products utilized by the PCP practice, and conduct a margin analysis by contractual relationship, including length of contract, restrictive or investment covenants, geography, and line of business.
Deal Structuring and Letter of Intent (“LOI”) development
This involves curating insight and guidance on deal structures that compliantly keep sellers, leadership and providers engaged and incentivized to maintain or improve agreed upon operational and/or financial KPIs.
